IMPORTANT NOTICE FOR PRACTITIONERS
If you are a licensed healthcare practitioner using CMiQHealth reports, indices, or analytical services, your use is governed by the Practitioner-Specific Terms in Section I below. These provisions allocate professional responsibility and limit reliance on CMiQHealth outputs.

SECTION I – PRACTITIONER TERMS & CONDITIONS

DEFINITIONS
“Company” means CardioMetaboliQ Labs LLC, doing business as CMiQHealth.
“CMiQHealth” means the Company’s professional analytics, reporting, and educational platform.
“Practitioner” means a licensed healthcare professional authorized to interpret health-related information.
“Reports” means all analytical outputs, including CMiQ, TMiQ, EMTiQ scores, iQ scores, domain indices,
tables, charts, visualizations, and written explanations.
“iQ Scores” means Impact Quotient scores reflecting relative physiologic strain, not diagnosis.
“Services” means all tools, reports, visualizations, educational materials, and platform features provided by CMiQHealth.
1. PRACTITIONER-ONLY ELIGIBILITY
CMiQHealth Services are offered exclusively to licensed healthcare practitioners. By using the Services, you represent and warrant that you hold an active, valid professional license and are acting within the scope of your licensure.
2. NATURE OF THE SERVICES
CMiQHealth provides analytical, educational, and visualization tools intended to support independent professional judgment. The Services are not medical advice, diagnosis, or treatment, and do not create a clinician–patient relationship.
3. LIMITATIONS OF SCORES AND VISUALIZATIONS
All scores, indices, and visual elements are illustrative, comparative, and contextual. They do not constitute diagnosis, prognosis, or prescribed action, and may vary based on clinical context and data limitations.
4. USE OF CLINICAL TERMINOLOGY
Clinical and physiologic terminology is used descriptively to reference scientific literature and does not constitute diagnosis or confirmation of disease.
5. RECOMMENDATIONS AND RESPONSIBILITY
Any recommendations or focus areas are general educational guidance only. Practitioners retain sole responsibility for interpretation, communication, and any actions taken.
6. NO RELIANCE OR SUBSTITUTION
Reports are one informational input and do not substitute for clinical evaluation, history, examination, or professional judgment.
7. INDEMNIFICATION
Practitioners agree to indemnify and hold harmless the Company from claims arising from their interpretation, communication, or actions.
8. DOWNSTREAM USE
The Company is not responsible for downstream use, redistribution, or third-party reliance on Reports.
9. NO GUARANTEES
Services are provided “as is” with no guarantees regarding outcomes, improvement, or prevention.
10. LIMITATION OF LIABILITY
To the maximum extent permitted by California law, liability is limited to fees paid in the preceding twelve (12) months. The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages.
11. ARBITRATION, GOVERNING LAW, AND VENUE
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS or the American Arbitration Association (AAA), at the Company’s election, conducted in San Diego County, California.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.

SECTION II – GENERAL WEBSITE TERMS

12. WEBSITE ACCESS AND USE
You agree to use the CMiQHealth website and Services lawfully and in accordance with these Terms.
13. ACCOUNT REGISTRATION
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
14. PAYMENTS, SUBSCRIPTIONS, AND REFUNDS
Fees, billing cycles, subscription terms, and refund policies are described at the point of purchase and are incorporated by reference.
15. INTELLECTUAL PROPERTY
All content, software, reports, trademarks, and materials are owned by CardioMetaboliQ Labs LLC or its licensors and may not be reproduced without prior written permission.
16. PRIVACY
Use of the Services is subject to the CMiQHealth Privacy Policy, incorporated by reference.
17. TERMINATION
The Company may suspend or terminate access for violation of these Terms or applicable law.
18. DISCLAIMER OF WARRANTIES
The website and Services are provided “as is” and “as available” without warranties of any kind.
19. LIMITATION OF LIABILITY (WEBSITE)
To the maximum extent permitted by law, the Company shall not be liable for damages arising from website use beyond the limits stated herein.
20. MODIFICATIONS
The Company may update these Terms from time to time. Continued use constitutes acceptance.
21. ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and the Company regarding use of the Services.
